ABOUT THE POSITION:

Luminate is seeking its first in-house Head of Legal who will oversee a team that provides expertise and guidance and implements activities related to its grant-making, procurement, contracts, and other operations. A significant part of this role will involve supporting domestic and international grants made by Luminate's U.S. private foundation. In addition, this position will coordinate legal support for for-profit investments and other activities globally. This position will report to the Head of Finance & Operations and provide a key strategic, legal perspective to Luminate more broadly.


Key Responsibilities:


Organizational Leadership (20%) 

  • Serve as a key functional leader, contributing to organizational strategy, mentoring staff, and overseeing all areas of Luminate’s legal affairs, grants, and contracts

  • Advise Luminate's senior management team on material legal risks

  • Represent the organization and serve as primary legal point of contact with stakeholders, including the organization’s leadership, investment advisors, clients, and other Omidyar Group companies

  • Build, manage, and advise a legal team, including a Staff Attorney, Grants Manager, and Paralegal, on the legal, compliance, and grants management processes

  • Design and direct company-wide legal system development 


Legal Advising (20%)

  • Consult outside counsel on complex legal issues, both domestic and international 

  • Monitor general compliance with tax laws and regulations applicable to U.S. private foundations

  • Provide support in other areas such as corporate compliance, employment, intellectual property and/or tax

  • Assist finance team with preparation and review of private foundation tax return

  • Collaborate and share learnings with legal counsel from other members of The Omidyar Group

  • Advise clients concerning business transactions, claim liability, advisability of prosecuting or defending lawsuits, or legal rights and obligations, analyzing the probable outcome of cases


Strategic Management (60%)

  • Grants

    • Work closely with the funding team on grant and funding structuring, due diligence, IRS compliance, agreement review and negotiation

    • Develop training and reference materials for the funding team(s), jointly with the Funding Operations Team

    • Frequently collaborate with the Funding Operations Team and Finance to ensure end to end grant management cycle compliance, filing and disbursements

  • Contracts

    • Provide oversight and final approval to the team processing high volume of service contract partnerships

    • Lead development and implementation of service contract templates

    • Ensure systems and processes are in place to mitigate risk and support efficiency for service contract partnerships


LOCATION:

Washington, DC preferred. Open to UK or East Coast based applicants.

Qualifications:

  • Prior foundation legal experience

  • J.D. degree, and license to practice law in the applicable jurisdiction

  • Several years of legal experience, with significant time advising on issues related to US nonprofit/foundation tax law (preferably in a grant-making capacity)

  • International legal and granting experience, ideally in-house

  • Track record of managing and growing highly effective and engaged teams  

  • Exceptional analytical skills with an ability to use data to drive decision making

  • Demonstrable ability and desire to work with collaborative teams globally; high affinity for working in a multicultural, distributed environment

  • Excellent written and verbal communication skills, including the ability to present legal concerns to a non-legal audience

  • Autonomous self-starter with the ability to exercise independent judgment and focus on effective resolution of legal issues

  • Strong document management and organization

  • Flexibility and adaptability commensurate with working in a fast-paced, sometimes ambiguous, startup environment

  • Track record of striving to ensure quality standards are met and that both internal and external customers’ expectations are exceeded

  • Ability to solve problems with a high degree of initiative

  • Organized and methodical approach to work

  • Highly accurate with solid attention to detail with the ability to see the big picture

  • Professional, courteous and approachable

  • Strong interpersonal skills including the ability to exercise patience and work collaboratively with colleagues and executives around the world

  • Desire to build something from scratch, wear multiple hats and maintain policies and processes over time

  • Occasional travel envisaged
